1. Introduction & Acceptance of Terms

Welcome to HiveResume ("we," "our," or "us"). HiveResume is a software-as-a-service platform that provides AI-powered tools for resume creation, enhancement, job matching, interview preparation, and career development.

By accessing or using HiveResume's website, services, or applications (collectively, the "Service"), you agree to be bound by these Terms & Conditions ("Terms"). If you do not agree to these Terms, you may not use the Service.

You must be at least 18 years old to use HiveResume. By using the Service, you represent and warrant that you are at least 18 years of age and have the legal capacity to enter into these Terms.

These Terms constitute a legally binding agreement between you and HiveResume. Please read them carefully.

2. Description of Services

HiveResume provides the following services:

• Resume Creation & Management: Tools to create, edit, store, and manage multiple resume versions
• AI-Powered Content Generation: AI assistance for generating resumes, cover letters, achievement descriptions, and interview preparation materials
• Resume Enhancement: AI-powered suggestions to improve resume content, formatting, and ATS (Applicant Tracking System) compatibility
• Resume Scoring: Automated scoring of resumes against job descriptions to assess compatibility
• Resume Parsing: Extraction of structured data from uploaded resume files (PDF, DOCX, TXT, MD)
• Job Matching: Algorithm-based job recommendations based on your resume and preferences
• Job Readiness Scoring: Assessment tools to evaluate your preparedness for job applications
• Cover Letter Generation: AI-assisted creation of tailored cover letters for specific job applications
• Interview Preparation: AI-generated interview questions, answers, and practice materials
• Application Kits: Comprehensive packages including resumes, cover letters, and application materials
• Achievement Tracking: Tools to track and document professional achievements and performance reviews
• Export Features: Download resumes and cover letters in PDF and DOCX formats

3. User Accounts & Responsibilities

3.1 Account Creation

To use certain features of HiveResume, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Maintain the security of your account credentials
• Accept responsibility for all activities that occur under your account
• Notify HiveResume immediately of any unauthorized use of your account

3.2 Prohibited Activities

You agree not to:

• Use the Service for any illegal purpose or in violation of any laws
• Impersonate any person or entity or misrepresent your affiliation with any person or entity
• Upload, post, or transmit any content that is harmful, offensive, defamatory, or violates any third-party rights
• Attempt to gain unauthorized access to the Service or any related systems or networks
• Use automated scripts, bots, or other means to scrape, extract, or collect data from the Service
• Reverse engineer, decompile, or disassemble any part of the Service
• Circumvent or attempt to circumvent usage limits, subscription restrictions, or security measures
• Interfere with or disrupt the Service or servers or networks connected to the Service
• Use the Service to generate spam, unsolicited communications, or bulk content
• Resell, redistribute, or sublicense access to the Service without authorization

4. AI Usage & Limitations

You use AI-generated content at your own risk. HiveResume shall not be liable for any consequences arising from your use of AI-generated content, including but not limited to missed job opportunities, inaccurate information, or negative outcomes.

5. User Content & Ownership

5.1 Your Content

You retain all ownership rights to content you create, upload, or provide to HiveResume, including:

• Resumes and resume versions you create or upload
• Achievement descriptions and performance reviews
• Personal information and profile data
• Any other content you submit to the Service

5.2 License to HiveResume

By using the Service, you grant HiveResume a limited, non-exclusive, worldwide, royalty-free license to:

• Process, store, and analyze your content to provide the Service
• Generate AI outputs based on your content
• Improve and train our AI systems using anonymized, aggregated data (your personal information will not be used in a way that identifies you)
• Back up and maintain your content

5.3 Data Protection

HiveResume will not:

• Resell your personal data or content to third parties
• Publicly share your resumes or content without your explicit consent
• Use your content for marketing purposes without your permission
• Share your content with employers or third parties except as necessary to provide the Service

6. Job Listings & Third-Party Content

HiveResume may provide access to job listings, job descriptions, and employer information from third-party sources, including job boards and employer websites.

You acknowledge and agree that:

• Third-party content: Job listings and employer information are provided by third parties. HiveResume does not control, verify, or endorse this content
• No accuracy guarantee: HiveResume does not guarantee the accuracy, completeness, or legitimacy of job listings, job descriptions, or employer information
• No hiring guarantee: HiveResume does not guarantee that you will receive job offers, interviews, or employment opportunities
• Employer responsibility: HiveResume is not responsible for hiring decisions, employer behavior, or the terms and conditions of employment
• Your discretion: You apply to jobs and interact with employers at your own discretion and risk
• Verification: You are responsible for verifying the legitimacy of employers, job postings, and employment opportunities

HiveResume is not a job placement service, employment agency, or recruiter. We provide tools to help you prepare application materials and discover job opportunities, but we do not facilitate or guarantee employment.

7. Subscriptions, Billing & Payments

7.1 Subscription Plans

HiveResume offers the following subscription plans:

• Free Plan: Limited access to basic features with usage restrictions
• One-Time Pass: A one-time payment that provides access to specific features for a limited time period (typically 7 days)
• Pro Plan: Monthly or annual subscription with expanded features and higher usage limits

7.2 Billing

Subscription fees are billed in advance on a monthly or annual basis, as selected during signup. One-Time Pass purchases are charged once at the time of purchase.

HiveResume uses Stripe as its payment processor. By providing payment information, you authorize HiveResume and Stripe to charge your payment method for all fees associated with your subscription.

7.3 Auto-Renewal

Monthly and annual subscriptions automatically renew at the end of each billing period unless you cancel your subscription before the renewal date. You will be charged the then-current subscription fee at the time of renewal.

7.4 Usage Limits

Each subscription plan includes specific usage limits (e.g., number of AI generations, resume versions, job matches per day). Usage limits are enforced per billing period. Unused usage does not roll over to the next period.

7.5 Price Changes

HiveResume reserves the right to change subscription prices at any time. Price changes will be communicated to you via email at least 30 days before they take effect. If you do not agree to a price change, you may cancel your subscription before the change takes effect.

7.6 Payment Methods

You are responsible for maintaining valid payment information. If payment fails, HiveResume may suspend or terminate your subscription. You are responsible for any fees charged by your payment provider.

8. Refund & Cancellation Policy

8.1 Subscription Cancellation

You may cancel your subscription at any time through your account settings or by contacting support. Cancellation takes effect at the end of your current billing period. You will continue to have access to paid features until the end of your paid period.

8.2 Refund Policy

Monthly and Annual Subscriptions: Refunds are not available for monthly or annual subscription fees. If you cancel your subscription, you will retain access until the end of your paid period, but no refund will be issued for the unused portion.

One-Time Pass: Refunds for One-Time Pass purchases are not available once the pass has been activated or used. If you have not activated your One-Time Pass, you may request a refund within 7 days of purchase by contacting support.

Exceptions: HiveResume may, at its sole discretion, provide refunds in exceptional circumstances, such as technical errors preventing service access or billing errors. Refund requests must be submitted within 30 days of the charge.

8.3 Trial Usage

If HiveResume offers a free trial period, you may cancel during the trial without being charged. If you do not cancel before the trial ends, you will be charged for the subscription.

9. Acceptable Use Policy

You agree to use HiveResume only for lawful purposes and in accordance with these Terms. Prohibited uses include:

• Uploading, posting, or transmitting any content that is illegal, harmful, threatening, abusive, defamatory, or violates any third-party rights
• Impersonating any person or entity or misrepresenting your identity
• Using the Service to send spam, unsolicited communications, or bulk messages
• Abusing AI systems by generating excessive or inappropriate content
• Making excessive automated requests that could overload or disrupt the Service
• Circumventing usage limits, subscription restrictions, or security measures
• Attempting to reverse engineer, decompile, or extract source code from the Service
• Using the Service to violate any applicable laws or regulations
• Interfering with or disrupting the Service or servers or networks connected to the Service
• Reselling, redistributing, or sublicensing access to the Service without authorization

Violation of this Acceptable Use Policy may result in immediate suspension or termination of your account.

10. Intellectual Property

The Service, including its design, features, functionality, software, text, graphics, logos, and trademarks, is owned by HiveResume or its licensors and is protected by copyright, trademark, and other intellectual property laws.

You may not:

• Copy, modify, distribute, sell, or lease any part of the Service
• Reverse engineer or attempt to extract the source code of the Service
• Use HiveResume's trademarks, logos, or branding without written permission
• Claim ownership of HiveResume's intellectual property

You retain ownership of your content, as described in Section 5. HiveResume retains all rights to the Service and its intellectual property.

11. Service Availability & Modifications

HiveResume strives to provide reliable service but does not guarantee:

• Uninterrupted or error-free access to the Service
• That the Service will be available at all times
• That all features will function as expected
• That the Service will meet your specific requirements

HiveResume may:

• Modify, update, or discontinue features or the entire Service at any time
• Perform maintenance that may temporarily interrupt service
• Change pricing, features, or usage limits with notice
• Suspend or terminate access for violations of these Terms

HiveResume will provide reasonable notice of significant changes when possible, but is not obligated to do so for all modifications.

12. Termination

12.1 Termination by You

You may terminate your account at any time by canceling your subscription (if applicable) and deleting your account through your account settings or by contacting support.

12.2 Termination by HiveResume

HiveResume may suspend or terminate your account immediately, without notice, if you:

• Violate these Terms or the Acceptable Use Policy
• Engage in fraudulent, abusive, or illegal activity
• Fail to pay subscription fees when due
• Use the Service in a manner that harms HiveResume or other users

12.3 Effect of Termination

Upon termination:

• Your right to access and use the Service will immediately cease
• HiveResume may delete your account and content, subject to data retention policies
• You will not be entitled to any refund for unused subscription time
• Provisions of these Terms that by their nature should survive termination will remain in effect

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HIVERESUME SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

• Loss of profits, revenue, data, or business opportunities
• Damages arising from AI inaccuracies or errors in AI-generated content
• Damages arising from job application outcomes, including missed opportunities or negative outcomes
• Data loss or corruption
• Third-party actions, including employer behavior or hiring decisions
• Service interruptions or unavailability
• Errors or omissions in job listings or third-party content

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HIVERESUME'S TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO HIVERESUME IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

Some jurisdictions do not allow the exclusion or limitation of certain damages. If such laws apply to you, some of the above limitations may not apply, but HiveResume's liability will be limited to the fullest extent permitted by law.

14. Indemnification

You agree to indemnify, defend, and hold harmless HiveResume, its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from or related to:

• Your use of the Service
• Your violation of these Terms
• Your violation of any third-party rights
• Your content or any content you submit to the Service
• Your use of AI-generated content
• Any activity that occurs under your account

HiveResume reserves the right to assume the exclusive defense and control of any matter subject to indemnification by you, in which case you agree to cooperate with HiveResume's defense.

15. Privacy & Data Protection

Your privacy is important to us. HiveResume's collection, use, and protection of your personal information is governed by our Privacy Policy and Cookie Policy, which are incorporated into these Terms by reference.

By using the Service, you consent to:

• The collection and use of your information as described in our Privacy Policy
• The use of cookies and similar technologies as described in our Cookie Policy
• The processing of your data in accordance with applicable data protection laws

16. Governing Law & Dispute Resolution

16.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

16.2 Dispute Resolution

Any dispute arising from or related to these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association (AAA). Arbitration shall take place in Delaware, United States.

You and HiveResume agree to waive any right to a jury trial and to participate in class action lawsuits. You may opt out of this arbitration agreement within 30 days of first accepting these Terms by sending written notice to HiveResume.

Notwithstanding the foregoing, either party may seek injunctive relief in any court of competent jurisdiction to protect intellectual property rights or to prevent irreparable harm.

17. Changes to Terms

HiveResume reserves the right to modify these Terms at any time. We will notify you of material changes by:

• Posting the updated Terms on this page with a new "Last Updated" date
• Sending an email notification to the email address associated with your account
• Displaying a notice within the Service

Material changes will take effect 30 days after notification. Your continued use of the Service after the effective date of changes constitutes your acceptance of the modified Terms.

If you do not agree to the modified Terms, you must stop using the Service and may cancel your subscription (if applicable).
